WNUR Alumni Organization Constitution
ARTICLE ONE -- NAME
1. Name
The name of this organization shall be the
WNUR Alumni Organization.
ARTICLE TWO -- MISSION
2. Mission
The purpose of the WNUR Alumni Organization
is to:
ARTICLE THREE -- STRUCTURE
3.1 Membership
The membership of the WNUR Alumni
Organization shall consist of all former members of the student
staff of WNUR-FM who are not currently enrolled as undergraduate
students at Northwestern University. The WNUR Alumni
Organization shall be governed by the WNUR Alumni Board
(hereinafter, "the Board").
3.2 Office
The address of the WNUR Alumni Organization
and of the Board is 1905 Sheridan Road, Evanston, Illinois
60208.
ARTICLE FOUR -- ALUMNI
BOARD
4.1 Responsibilities
The Board shall endeavor to support the
activities of radio station WNUR-FM in any way it deems
appropriate. The Board shall endeavor to assist the WNUR student
staff, WNUR Faculty Advisor, and Northwestern University School
of Speech administration with recruitment, professional
development, career services, special events, and recognition
for the WNUR student staff. The Board shall endeavor to create,
produce, and sponsor programs and activities for the WNUR Alumni
Organization.
4.2 Composition
The WNUR Alumni Board shall be composed of
the following persons:

WNUR (Student) General Manager, ex

WNUR Graduate Assistant, upon invitation
of the Faculty Advisor, ex officio

Up to 40 elected Members of the WNUR
Alumni Organization, no more than ten of whom shall have
been members of the WNUR student staff at the same time
The composition of the Board shall be broad
enough to represent all of the constituencies in the WNUR Alumni
Organization and to include the types of skills needed to
function effectively. To the greatest extent possible, the
composition of the Board shall be representative of each decade
of WNUR's existence for which there are living alumni.
4.3 Executive Committee
The Executive Committee of the Board shall
consist of the President, the Past President, the Secretary, the
Working Committee chairpersons and all ex-officio members of the
Board. During the intervals between the regularly scheduled
meetings of the Board, the Executive Committee may transact
business on behalf of the Board.
4.4 President
The President shall chair meetings of the
Board and meetings of the Executive Committee. The President
shall serve as a liaison between and among the Board, the WNUR
Alumni Organization, the WNUR Faculty Advisor, and the student
staff of WNUR.
4.5 Past President
The Past President shall serve as an advisor
to the Board for one year following the expiration of his or her
term of office, and shall assist the President and the Board in
making an effective transition.
4.6 Secretary
The Secretary shall record the minutes of
the meetings of the Board and the meetings of the Executive
Committee. The Secretary shall assist the President in serving
as a liaison between and among the Board, the WNUR Alumni
Organization, the WNUR Faculty Advisor, and student staff of
WNUR.
4.7 Members
Members of the Board shall be members of the
WNUR Alumni Organization. Members serve as a liaison between and
among the Board, the WNUR Alumni Organization, the WNUR Faculty
Advisor, and the student staff of WNUR.
4.8 Terms of Office
Members shall be elected to the Board upon a
two-thirds majority vote of the current Board. Members shall
serve for a three-year term of office. Terms of office shall
begin on September 1 and expire on August 31. Members may be
re-elected, and may serve a maximum of six consecutive years
(two consecutive terms). No more than fifty percent (50%) of the
members' terms shall expire in any one calendar year. The
President's term of office shall be two years. The term of
office for the Past President and for the Secretary shall be one
year. A Past President's term of office as a Board member shall
be lengthened by one year, if necessary, to enable him/her to
serve in that office. Ex-officio members are exempt from term
limits.
4.9 Election Process
Prior to the expiration of a Member's or
Officer's term of office, any Member of the Board may compile a
list of proposed nominees to the Nominating Committee
Chairperson, who shall compile a complete list of proposed
nominees. The Nominating Committee Chairperson shall contact the
proposed nominees and invite them to submit relevant materials
for the Board's consideration. The Nominating Committee shall
review the materials submitted by interested individuals and
submit recommendations to the Board for a final vote.
If a Member who sits on the Nominating
Committee is a proposed nominee for an Executive Committee
position or for a second term of Board membership, he or she
shall withdraw from the portion(s) of the meeting at which the
Nominating Committee discusses recommendations for such
positions.
The election of Board Members and Officers
shall be conducted by secret ballot, prepared and distributed by
the Nominating Committee. The WNUR Faculty Advisor shall collect
and tabulate the ballots, announce the election results to the
Board, and instruct the Secretary to record them.
4.10 Duties of the Board
The Board shall plan and implement programs
and events for WNUR, its student staff, and its alumni. The
President may appoint Working Committees to further the work of
the Alumni Board, as he or she deems necessary or appropriate.
4.11 Meetings of the Board
The Board shall meet a minimum of three
times per calendar year. The Board may also meet at such other
times as is appropriate, or when meetings are called by the
President. The Executive Committee shall meet a minimum of three
times per calendar year. The Executive Committee shall set the
schedule for the meetings of the Working Committees.
4.12 Quorum
A group of not less than one-third of the
total membership of the Board shall constitute a quorum for the
transaction of business. The acts of a majority (51%) of the
Board members present at a meeting at which there is a quorum
shall be deemed to be the acts of the full Board.
4.13 Removal from Office
Any Board Member may be removed as a Member
from the Board for good cause by the affirmative vote of
two-thirds of the total membership of the Board. Such vote must
be taken at a duly organized meeting of the Board.
In the event of such a removal, a successor
Member may be appointed to serve the remainder of the unexpired
term in accordance with the election process in Article 4.9.
ARTICLE FIVE -- WORKING
COMMITTEES
5.0 Committee Membership
Members of the Board shall serve on at least
one Working Committee and may serve on no more than two in the
same calendar year. The President shall appoint members to serve
on Working Committees that have an insufficient number of
volunteer members to operate effectively.
5.1 Mentoring Committee
The Mentoring Committee shall endeavor to
facilitate interactions and foster mentoring relationships
between and among WNUR alumni and members of the WNUR student
staff. Such interactions may include training seminars,
on-the-job mentoring, professional internships, and other such
activities as the Board deems appropriate. The WNUR Faculty
Advisor may assist in managing such programs.
5.2 Events Committee
The Programs Committee shall endeavor to
plan and implement WNUR alumni and alumni-student events, such
as an annual WNUR student staff reception, reunion events, and
an awards program for WNUR student staff members.
5.3 Communications Committee
The Communications Committee shall endeavor
to maintain open channels of communication between and among the
Board, the WNUR Alumni Organization, and the WNUR student staff.
Committee members shall participate in the production of an
electronic newsletter and such other communication vehicles it
deems necessary to carry out the mission and work of the Board.
5.4 Nominating Committee
The Nominating Committee shall receive
nominations, from the Board and other sources, for potential
members of the Board, potential Board Officers, and student
award recipients for the annual School of Speech Honors
Convocation, review the qualifications of proposed nominees, and
submit recommendations to the Board.
The Nominating Committee shall be comprised
of the following participants:

WNUR Graduate Assistant, upon invitation
of the Faculty Advisor, ex-officio

Five Alumni Board Members, who shall
select from amongst themselves a Chairperson
5.5 Formation of other Committees
At any time throughout the year, the Board
may form other committees as it deems appropriate.
ARTICLE SIX -- EMERITUS
BOARD
6. WNUR Emeritus Board
The WNUR Emeritus Board shall consist of
former Board members whose terms of office have expired or who
have voluntarily resigned from membership on the Board. Emeritus
Board members serve for life, unless they voluntarily resign
from Emeritus Board membership. The Emeritus Board serves as a
pool of volunteers to participate as the Board sees fit.
ARTICLE SEVEN -- PROCEDURE
7.1 Calendar Year
The Calendar year of the WNUR Alumni
Organization and of the Board shall end no later than midnight
of the thirty-first day of August.
7.2 Tie Votes
In the event of a tie vote on any matter of
business before the Board requiring a simple majority for
passage, excepting the election of Board Members or Officers,
the WNUR Faculty Advisor may cast a vote to break the tie.
7.3 Constitution
The Secretary of the Board and the WNUR
Faculty Advisor shall maintain the official copies of this
Constitution, together with all previous Constitution. The
Faculty Advisor shall revise the Constitution whenever
amendments have been ratified.
7.4 Amendments
This Constitution may be modified, amended,
or revised at any regularly scheduled meeting of the Board by a
two-thirds affirmative vote of the members present, provided
that a quorum is present and that written notice of the proposed
amendment(s) shall have been delivered at least fourteen days in
advance of such meetings to all Members of the Board.
7.5 By-Laws
To meet temporary conditions as they arise,
by-laws may be adopted by a two-thirds majority vote of the
members present at any regularly called meeting of the Board.
ARTICLE EIGHT --
DISSOLUTION
8. General
The Board may dissolve the WNUR Alumni
Organization at any regularly scheduled meeting of the Board by
the affirmative vote of two-thirds of the total membership of
the Board. Not more than ninety days following the dissolution
of the WNUR Alumni Organization, the Board shall wind down its
affairs and shall cease to exist.
